Were you infected by a virus or worm of some sort recently? Because, without the WIN.exe file you cannot boot your PC.

If you have the install CD, you will need to reconfigure your PC from scratch Do a total deletion of your hard drive and install everything, from scratch, from soup to nuts.

As far as you upgrading from WIN98se to WINXP, it can be done However, you must first make sure that your computer meets the requirements:

between 128MB to 4GB of RAM

2GB hard drive space, with 1.5GB of free space

PentiumII 133MHZ or better
