This question was answered on August 3, 2004. Much of the information contained herein may have changed since posting.I just started having the same problem, haven't quite figured out yet what it is but figured out how to disable it on my computer.
Run msconfig by clicking Start>Run>(type msconfig, click enter.)
Tab over to Startup on mine I had something called "tgcmd" which led to http://www.liutilities.com/products/wintaskspro/processlibrary/tgcmd/
Disable it by unchecking the box.
Restart and it should be gone.
Im still researching where this came from, and what it does, but I believe it is something bundled with my SBC/Yahoo Software.
also check to see if you sound my guest it related or sound card or voice modem also check for spyware check out http://www.safer-networking.org/en/index.html
